These Terms and Conditions (“Terms”) govern your access to and use of the FutureProof AI Agent and related services (“Services”) provided by FutureProof, LLC (“FutureProof,” “we,” “us,” or “our”). By accessing or using any part of our Services, including via trial or subscription, you acknowledge and agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and legally able to enter into a binding agreement to use the Services. By using the Services, you represent and warrant that you meet this requirement.

2. Trial Access

We may offer time-limited free trials of the FutureProof AI Agent. Trial terms, including duration and access scope, are subject to change or termination at our sole discretion. Trial accounts may be converted into paid subscriptions upon expiration.

3. Account Registration

To access premium features, you may need to create an account. You agree to:

• Provide truthful, complete registration information.
• Maintain the confidentiality of your credentials.
• Immediately report any unauthorized account activity.

You are solely responsible for all activities under your account, whether or not authorized.

4. Authorized Use

You may use the Services solely for lawful business or personal productivity purposes. You may not:

• Use the AI Agent to create or disseminate content that is illegal, fraudulent, defamatory, discriminatory, or infringing.
• Attempt to reverse-engineer, replicate, resell, sublicense, or commercially exploit any component of the Services without our express written permission.
• Interfere with or circumvent the integrity or security of the Services or any third-party services integrated into the platform.
• Use bots, crawlers, or scraping tools to access the Services.

We reserve the right to monitor usage and enforce compliance.

5. Subscriptions & Billing

Access to certain features requires a paid subscription. By purchasing a subscription, you agree to:

• Provide a valid payment method.
• Authorize recurring charges unless canceled prior to the renewal date.
• Acknowledge that all payments are final and non-refundable, unless required by applicable law.

Prices, billing cycles, and subscription tiers are subject to change with notice.

6. Intellectual Property

All proprietary technology, trademarks, designs, software, and content on or related to FutureProof Services are owned by FutureProof, LLC or its licensors. This includes all machine learning models, prompts, system outputs, and visual branding.

You retain rights to content and data you input. By using the Services, you grant us a license to store, process, analyze, and use your data for the purpose of delivering and improving the Services.

. Data Privacy

Your use of the Services is subject to our Privacy Policy, which governs how we collect, use, and protect your information. By using the Services, you consent to the data practices described therein.

8. AI Output Disclaimer

The FutureProof AI Agent uses generative AI models to produce content. You acknowledge:

• The output is generated algorithmically and may be inaccurate, outdated, offensive, or misleading.
• You are solely responsible for verifying any AI-generated content before use.
• The Services are not intended to provide legal, financial, healthcare, or safety-critical advice.

You use AI-generated content at your own risk.

9. Suspension or Termination

We reserve the right to suspend or terminate your access to the Services at any time and for any reason, including violation of these Terms, without liability.

You may cancel your subscription at any time. Termination does not release you from payment obligations incurred prior to cancellation.

10. Third-Party Services

The Services may include integrations or links to third-party platforms (e.g., OpenAI, Zapier, Calendly, Google). We are not responsible for the content, reliability, or privacy practices of third-party providers. Your use of third-party tools is governed by their respective terms and policies.

We reserve the right to modify these Terms at any time. Material updates will be communicated via the Website or email. Your continued use after such changes indicates your acceptance of the updated Terms.

12. Limitation of Liability

To the maximum extent permitted by law:

• We disclaim all warranties, express or implied, related to the Services.
• We shall not be liable for indirect, incidental, punitive, or consequential damages, including but not limited to loss of data, business interruption, reputational harm, or lost profits.
• Our aggregate liability shall not exceed the total amount paid by you for the Services in the 12 months preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless FutureProof, LLC, its affiliates, employees, and agents from any claims, liabilities, damages, or expenses (including legal fees) arising from:

• Your use of the Services;
• Your violation of these Terms;
• Any content or data submitted by you.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any legal dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state or federal courts/
